By accessing or using ISP Exchange (the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not access or use the Platform.

ISP Exchange is operated by Alpers Innovative Business Solutions (AIBS).

  1. Description of the Platform

ISP Exchange is an online marketplace that allows users to list, discover, and communicate regarding delivery routes, Contracted Service Areas (CSAs), and fleet assets.

ISP Exchange facilitates connections only. We are not a broker, agent, or party to any transaction between users.

  1. Eligibility

You must be at least 18 years old to use the Platform.

By creating an account, you represent that:

You are legally capable of entering agreements

Information you provide is accurate and current

You will comply with all applicable laws and regulations

  1. Accounts & Access

Users may be required to:

Register an account

Receive approval to join

Receive approval to post listings

ISP Exchange reserves the right to:

Approve or deny user access

Restrict posting or messaging privileges

Suspend or terminate accounts at its discretion

  1. Listings

Users are solely responsible for:

The accuracy of listings

Compliance with applicable laws

Updating or removing outdated information

All listings may be reviewed prior to publication. ISP Exchange may remove or reject listings that violate marketplace rules or these Terms.

  1. Transactions & Communications

ISP Exchange does not:

Participate in negotiations

Verify financials or assets

Conduct due diligence

Handle payments or contracts (unless explicitly stated)

Buyers and sellers communicate and transact directly and assume all associated risks.

  1. Fees

Unless otherwise stated, ISP Exchange does not guarantee free access or listing functionality.

Fees, if applicable, will be disclosed separately. All fees are non-refundable unless explicitly stated.

  1. Prohibited Conduct

Users may not:

Post false or misleading information

Misrepresent ownership or authority

Circumvent platform controls

Use the Platform for unlawful purposes

Interfere with platform operations or other users

Violation may result in removal of content or account termination.

  1. Intellectual Property

All Platform content, branding, and functionality are the property of ISP Exchange or its licensors.

Users retain ownership of content they submit but grant ISP Exchange a license to display and distribute such content within the Platform.

  1. Disclaimer of Warranties

ISP Exchange is provided “as is” and “as available.”

We make no warranties regarding:

Accuracy of listings

Availability of assets

Success of transactions

Financial outcomes

  1. Limitation of Liability

To the maximum extent permitted by law, ISP Exchange and AIBS shall not be liable for:

Losses arising from transactions

User disputes

Data inaccuracies

Platform interruptions

Use of the Platform is at your own risk.

  1. Indemnification

You agree to indemnify and hold harmless ISP Exchange and AIBS from claims arising out of:

Your use of the Platform

Your listings or communications

Violations of these Terms

  1. Termination

ISP Exchange may suspend or terminate access at any time, with or without notice, for violations of these Terms or marketplace rules.

  1. Changes to Terms

We may update these Terms from time to time. Continued use of the Platform constitutes acceptance of revised Terms.

  1. Governing Law

These Terms are governed by the laws of the state in which AIBS is registered, without regard to conflict-of-law principles.
